股東會將屆 徵委託書需合法

（中央社記者吳靜君台北2014年3月15日電）金管會呼籲，企業、股務代理機構應依法徵求委託書，不得有價購委託書的情形。

金融監督管理委員會表示，民國 103年度上市櫃公司將陸續召開股東會，呼籲公司、股務代理公司應依法徵求委託書，以保障股東權益。

金管會表示，公司自辦股務者或代辦股務機構，應確實依法令及內部控制制度辦理股務及股東會事務，違反規定經金管會糾正或處罰者，將不得再自辦股務或限制股務代理業務。

金管會說，委託書徵求人及代為處理徵求事務者，在辦理委託書徵求過程，不得有價購委託書的情形，徵求人非在規定期限內將委託書徵求書面資料送達公司者，不得為徵求行為，違規情事經查證屬實者，除違反規定徵得的委託書其表決權不予計算外，金管會將依證券交易法處分。
